The regulations require an EB-5 applicant to be involved in the management of the new commercial enterprise. The regulations state that the petitioner must either be involved in the day-to-day management of the business or manage it through policy formulation. The regulations also state that, if the investor holds a position as a corporate officer of board member or, in the case of a limited partnership, is a limited partner under the provisions of the Uniform Limited Partnership Act ("ULPA"), this will satisfy the management requirement.

Yes, funds may be borrowed or gifted. However, the regulations expressly prohibit using loan money for EB-5 purposes if the loan is obtained by using the new commercial enterprise as security. It does not matter if the loan is from a third party lender or the enterprise itself. In either case the petition will be denied if the loan is secured by the new commercial enterprise.

An accredited investor is a term defined by various security laws that describes investors permitted to invest in certain types of higher risk investments, limited partnerships, hedge funds and angel investor networks.
